Montana MSB License: Company Formation & FinCEN Registration for Crypto and Payment Businesses
We form your Montana company, register it as a money services business with FinCEN and build the written AML program that U.S. banks and partners expect. From US$12,900. Registration is federal, so we also tell you plainly what it does and does not allow.
What Is a Montana MSB License?
A Montana MSB license is the market name for a Montana company that is registered with the U.S. Financial Crimes Enforcement Network (FinCEN) as a money services business and operates under a written anti-money laundering program. Montana does not issue a money transmitter licence, so the legal basis is federal: the Bank Secrecy Act and 31 CFR Parts 1010 and 1022. We use the familiar name because that is how clients search for it, and we explain the legal reality before you spend a dollar.
A Real U.S. Entity
A Montana LLC or corporation with a registered agent, an EIN and a U.S. banking footprint. Many payment partners and banks prefer to onboard a U.S. entity that is registered and documented.
FinCEN Registration
The company files FinCEN Form 107 through the BSA E-Filing System and receives a registration acknowledgement that partners can verify.
AML Program
A written, risk-based program with a compliance officer, policies, training and independent review, which FinCEN, the IRS and bank partners will ask to see.
A Clear Legal Map
A written view of where registration is enough and where state licences, securities or commodities rules still apply to your model.
Regulatory Note: A FinCEN registration is not an approval. FinCEN does not review or license the business when it accepts Form 107; it records the registration and expects the business to comply with the Bank Secrecy Act from day one. This is the central difference from a licence issued by a state regulator, the FCA, the SFC or a MiCA competent authority.

Scope
Which Crypto and Payment Businesses Must Register?
FinCEN looks at what the business does, not at the label on the website. Its May 2019 guidance (FIN-2019-G001) applies the existing rules to common crypto business models. The table is a summary; your own model needs a written analysis.
| Business Model | Typical FinCEN Treatment | Registration Needed? | Comment |
|---|---|---|---|
| Crypto exchange (fiat to crypto, crypto to crypto) | Money transmitter (administrator or exchanger) | Yes | Applies to centralized platforms and OTC desks that accept and transmit value. |
| Hosted wallet provider | Money transmitter | Yes | The provider accepts and transmits value on behalf of the user. |
| Crypto kiosk (ATM) operator | Money transmitter | Yes | State licences are also common; check each state where kiosks sit. |
| Peer-to-peer exchanger as a business | Money transmitter | Yes | Occasional personal trades are different from doing it as a business. |
| Payment processor handling crypto settlement | Depends on who holds and moves value | Often yes | The payment processor exemption is narrow and fact-specific. |
| Unhosted wallet software developer | Software provider, not a transmitter | Generally no | The provider never accepts or transmits value for others. |
| Miner using own funds | User of CVC | No | Selling mined coins as a business may change the analysis. |
| Token issuer or sponsor | Depends on the token and sales model | Case by case | Securities law can also apply; see asset tokenization. |

Registered agents of another MSB are exempt from separate registration, unless they also conduct MSB activity on their own behalf.
What Does an MSB Have to Do?
Registration is only the first obligation. Once registered, the business is treated as a financial institution under the Bank Secrecy Act and is examined by FinCEN’s delegate, the IRS, and by banks that bank it.
| Obligation | What It Means | Legal Basis | Timing / Threshold |
|---|---|---|---|
| Registration | File FinCEN Form 107 electronically; keep a copy and the agent list | 31 CFR 1022.380 | Within 180 days of establishment; renew every two years |
| AML program | Written, risk-based program: policies and controls, compliance officer, training, independent review | 31 CFR 1022.210 | In place from the first day of operation |
| Suspicious activity reports | Report suspicious transactions through BSA E-Filing | 31 CFR 1022.320 | Transactions of $2,000 or more |
| Currency transaction reports | Report cash received or paid out above the limit | 31 CFR 1010.311 | More than $10,000 in cash in one business day |
| Funds-transfer records and Travel Rule | Keep and pass on sender and recipient information | 31 CFR 1010.410 | Transmittals of $3,000 or more |
| Record retention | Keep registration, reports and records at a U.S. location | 31 CFR 1010.430 | Five years |
| Sanctions compliance | Screen customers and wallets against OFAC lists | OFAC regulations | Every onboarding and ongoing |

Why the AML Program Matters Most
Banks, payment processors and liquidity providers do not onboard a business because it filed Form 107. They ask for the AML program, the risk assessment, the compliance officer’s profile and evidence of screening tools. A weak program is the most common reason an otherwise registered MSB loses its bank account.
Our AML/KYC compliance team writes the program around your products, customers and countries, and prepares you for the first independent review.
What may change: on 10 April 2026 FinCEN published a proposed rule that would restate AML/CFT program requirements for all covered institutions, including MSBs, with an explicit risk-assessment process and a compliance officer located in the United States. It is a proposal, not a final rule, and comments closed on 9 June 2026. We build programs that already meet the direction of travel, so a final rule would require updates rather than a rebuild.
Why Montana
Why Founders Choose Montana as the Home State
Federal registration works the same from any state. Montana is chosen for practical reasons, and we are candid that none of them replaces compliance.
No State Money Transmitter Licence
Montana does not run a money transmitter licensing programme, so the company does not need a home-state licence to be organized and registered. Other states you serve may still require one.
No State Sales Tax
Montana has no general sales tax, which keeps administration simple for software and service companies. Income tax rules still apply to the entity and its owners; we review them with you.
Simple Entity Law
LLC formation is quick, annual reporting is light, and the structure is flexible for founders and investors. Our company registration team prepares the operating agreement.
Digital-Asset-Friendly Politics
The Montana legislature has passed several digital-asset measures in recent sessions. Legislation does not change federal AML duties, but it shapes the local climate.
Privacy Within the Law
Montana LLC filings are public at the Secretary of State level, but federal beneficial ownership and bank due diligence still apply. We structure ownership transparently.
Lower Setup Cost
State-level filing fees and annual maintenance are modest compared with licensing regimes that charge application fees and require minimum capital.
Tax note: Montana taxes corporate income at a flat rate of 6.75%, and pass-through owners are taxed on their share of income. Tax residence, federal tax and treaty position depend on where the owners live. Our tax structuring team models the whole structure before formation.

Figures other than the Licensium starting price are indicative planning estimates, not quotations. State licences in other states, a bank with higher risk appetite or a larger compliance team will raise the budget. Government fees change; confirm them with the Montana Secretary of State and FinCEN.
What a Montana MSB Registration Does and Does Not Give You
The most expensive mistakes in this market come from selling a registration as a licence. We set expectations in writing.
| Question | Answer | Why |
|---|---|---|
| Is it a government licence? | No, it is a federal registration | FinCEN records the registration and does not approve the business. |
| Does it cover all 50 states? | No | Most states license money transmission separately; see 18 U.S.C. 1960 for the federal offence of operating without a required state licence. |
| Does it cover crypto-specific state regimes? | No | New York BitLicense and California DFAL are separate regimes. |
| Does it allow securities or derivatives activity? | No | SEC and CFTC rules apply to securities, funds and derivatives. |
| Can I serve EU clients? | No | EU clients require MiCA CASP authorization, including for B2B services, according to ESMA. |
| Does it help with banking? | Yes, if the AML program is real | Banks treat registration plus a credible program as a baseline. |
| Does it help with credibility? | Moderately | Partners can verify registration, but they also verify state licences and your controls. |

Map Your Customers to State Law
Before launch we list the states where your customers sit and check whether each requires a money transmitter or crypto licence, exempts your model, or can be served through a licensed partner.
Use a Licensed Partner Where Sensible
A licensed bank or money transmitter can sometimes carry the regulated leg while your company provides technology and customer service. We structure these agency relationships carefully.
Avoid Prohibited Customers
Sanctioned persons and high-risk jurisdictions are screened out by policy. Registration will not protect a business that moves funds for sanctioned parties.
Plan Other Markets Separately
Europe, the UK, Canada and Asia each have their own licensing rules. See the comparison below, and talk to us before you market outside the United States.

How to Choose
Choose Montana when your near-term goal is a documented, bankable U.S. entity and your customers or counterparties are in the United States. Choose a licence-based route when you need to serve a specific foreign market, or when your product is a regulated financial service in its own right.
Many clients combine routes: a U.S. MSB for American flows and a MiCA CASP for Europe. Read where to move a crypto business after MiCA and our guide to choosing a crypto licence jurisdiction.
After Registration
Ongoing Obligations of a Registered MSB
Registration is a starting point. These controls keep the company registered, bankable and examinable.
Program Operation
Policies must be followed in practice: customer files, screening logs, alert reviews and training records are what an examiner asks for.
SARs and CTRs
Reports are filed electronically through BSA E-Filing within the legal deadlines; a SAR requires confidentiality and an internal escalation file.
Travel Rule Process
For transmittals of $3,000 or more, required sender and recipient information must be collected, retained and passed on to the next institution.
Renewals and Changes
Registration must be renewed every two calendar years. Re-registration is required in cases such as a transfer of more than 10% of voting power or equity, or a large increase in agents.

Frequently Asked Questions on the Montana MSB License
Direct answers to the questions founders ask most often.
Is there a Montana MSB license?
Not in the sense of a state-issued permit. Montana does not issue a money transmitter license, and the Montana Division of Banking has said that money transmission is not defined in Montana law. What businesses call a Montana MSB license is a Montana company that has registered as a money services business with FinCEN, the U.S. Treasury bureau that supervises anti-money laundering compliance, and that runs a written AML program. The registration is federal. Montana is simply the state where the company is organized.
Who has to register with FinCEN as an MSB?
Anyone in the business of transmitting funds or value, exchanging or administering convertible virtual currency, cashing checks, exchanging currency, or issuing or selling money orders, traveler's checks or prepaid access above the thresholds in 31 CFR 1010.100(ff) must register, unless the only reason the business is an MSB is that it acts as an agent of another MSB. FinCEN guidance from 2013 and 2019 treats most exchangers and administrators of convertible virtual currency, hosted-wallet providers and crypto kiosk operators as money transmitters.
How long does MSB registration take?
The filing itself is done online through the BSA E-Filing System with FinCEN Form 107, and the law gives a new MSB 180 days from the day after it is established to register. In practice we plan three to six weeks from instruction to filing: company formation and an EIN, the written AML program, and the Form 107 submission. Banking and payment-provider onboarding usually take longer than the registration and should be started in parallel.
Does a Montana MSB registration let me serve customers in every U.S. state?
No. Federal registration with FinCEN does not replace state money transmitter licenses. Most states license money transmission, and some, such as New York (BitLicense) and California (Digital Financial Assets Law), have crypto-specific regimes. If you serve customers in a state that requires a license, you need that license or an exemption. Operating without a required state license can also create federal exposure under 18 U.S.C. 1960. We map your customer base to state requirements before you launch.
Can a Montana MSB serve customers in the EU, UK or Asia?
The registration only addresses U.S. anti-money laundering rules. Serving customers abroad is governed by the law of their country. Since 1 July 2026, serving EU clients with crypto-asset services requires authorization as a CASP under MiCA, and ESMA has said that offering such services to EU clients from outside the EU is not allowed without it. If your clients are in Europe, see our guides to the MiCA CASP route and to the VASP regime.
What are the main ongoing obligations of an MSB?
A written, risk-based AML program with a designated compliance officer, internal policies and controls, staff training and an independent review; suspicious activity reports for transactions of $2,000 or more; currency transaction reports above $10,000 in cash in one business day; funds-transfer recordkeeping and Travel Rule information at $3,000 or more; record retention for five years; and renewal of the FinCEN registration every two calendar years.
Is the Montana MSB route suitable for a crypto exchange?
It can be a legitimate first step for a U.S.-facing or global exchange, wallet or payment business that wants a U.S. entity with FinCEN registration, a banking relationship and a documented AML program. It is not a standalone licence to run an exchange for all U.S. users, and it does not authorize securities or derivatives activity, which falls under the SEC and CFTC. A written legal analysis of your model is part of our onboarding.
How much does it cost?
Licensium's Montana MSB package starts from US$12,900. It covers company formation in Montana, the EIN, the FinCEN registration, a tailored written AML program and onboarding of your compliance officer. Third-party costs such as the registered agent, outsourced compliance officer, KYC and blockchain-analytics tools, banking and the independent AML review are separate and depend on your volumes and model.
